For as little as $100 you can become an equity investor in Profit Property USA 946 MLK LLC (“Profit Property 946”) and its interest in the acquisition of multi-family apartments. As an investor, you are entitled to your share of profits that the property generates from apartment rentals and have the opportunity to receive additional funds when the property is sold.
BH MLK is offering a 5% cumulative but non-compounding annual preferred return on the Project. As the sole equity investor, PPUSA 946 (the "Company") will be allocated 51% of the Profits, Losses, etc. as set forth in the BH MLK Operating Agreement. BH MLK will determine if it is feasible to make distributions from cash flows. It may also make distributions if it sells or refinances the Project, all subject to and in accordance with the BH MLK Operating Agreement. The Company may have available cash to distribute if the distributions it may or may not receive from BH MLK exceeds its expenses. The Manager of the Company will make that determination within 90 days after the end of each calendar year.
Of course, there is no guarantee that BH MLK to PPUSA 946 or that PPUSA 946 will be able to make distributions to Investors for all of the reasons revealed in the Risk Factors in Form C (starting on page 11) and other potentially unforeseen reasons.
