Material changes
What is a material change? What types of changes are considered material?
A change to your Form C that is considered “material” by the SEC triggers a requirement that all existing investors reconfirm their investments. Material changes include:
an extension of the offering deadline;
any change to the target or maximum offering amounts;
any change to the terms of the security;
any substantial change to the company’s officers and directors; and
any substantial change to the company’s financial information.
Please note that this is not an exhaustive list. Other changes may be considered material depending on the particular facts and circumstances involved. We have the right to determine whether something is a material change, but we will generally defer to your counsel.
